End User License Agreement

This End User License Agreement ("EULA" or "Agreement") is a legal agreement between you ("User" or "you") and MusicOS ("Company", "we", "us", or "our") for the use of the MusicOS mobile application and related services (the "Application").

By downloading, installing, or using the Application, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not download, install, or use the Application.

1. License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Application on devices that you own or control, solely for your personal, non-commercial purposes, subject to the terms of this Agreement.

2. License Restrictions

You agree not to:

• Copy, modify, or distribute the Application or any part thereof
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Application
• Rent, lease, lend, sell, sublicense, or otherwise transfer the Application to any third party
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices in the Application
• Use the Application for any illegal, unauthorized, or prohibited purpose
• Use the Application in a manner that could interfere with, disrupt, or negatively affect the Application or its servers

3. Intellectual Property

The Application, including all content, features, functionality, design, graphics, code, and documentation, is owned by MusicOS and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. This Agreement does not grant you any rights to our trademarks, logos, or brand elements.

4. User Content

You retain all rights to the content you upload, create, or share through the Application ("User Content"). By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, display, and distribute your User Content in connection with operating and providing the Application. You represent that you have the right to grant this license and that your User Content does not infringe on any third party's rights.

5. Subscriptions and In-App Purchases

The Application may offer subscriptions or in-app purchases. If you purchase a subscription through the Apple App Store:

• Payment will be charged to your Apple ID account at confirmation of purchase
• Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period
• Your account will be charged for renewal within 24 hours prior to the end of the current period at the subscription rate
• You can manage and cancel your subscriptions by going to your Account Settings on the App Store after purchase
• Any unused portion of a free trial period will be forfeited when you purchase a subscription

Prices are in US dollars and may vary in other countries. We reserve the right to change subscription pricing at any time.

6. Third-Party Services

The Application may contain links to or integrate with third-party services, websites, or applications. We are not responsible for the content, privacy policies, or practices of any third-party services. Your use of third-party services is governed by their respective terms and policies.

7. Privacy

Your privacy is important to us. Our collection and use of personal information in connection with the Application is described in our Privacy Policy, which is incorporated into this Agreement by reference.

8. Disclaimer of Warranties

THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MUSICOS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to, use of, or inability to use the Application
• Any conduct or content of any third party on the Application
• Any content obtained from the Application
• Unauthorized access, use, or alteration of your transmissions or content

10. Indemnification

You agree to defend, indemnify, and hold harmless MusicOS and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with your access to or use of the Application, your User Content, or your violation of this Agreement.

11. Termination

This Agreement is effective until terminated. We may terminate or suspend your access to the Application at any time, without prior notice or liability, for any reason, including if you breach this Agreement. Upon termination, your license to use the Application will immediately cease. You may terminate this Agreement by deleting the Application from your devices and discontinuing use.

12. Apple App Store Additional Terms

If you downloaded the Application from the Apple App Store, the following additional terms apply:

• This Agreement is between you and MusicOS, not with Apple Inc. ("Apple"). Apple is not responsible for the Application or its content.
• Apple has no obligation to provide maintenance or support for the Application.
• In the event of any failure of the Application to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price (if any). Apple has no other warranty obligation with respect to the Application.
• Apple is not responsible for addressing any claims by you or any third party relating to the Application or your use of it, including product liability claims, claims that the Application fails to conform to legal or regulatory requirements, and claims arising under consumer protection or similar legislation.
• In the event of any third-party claim that the Application infringes that third party's intellectual property rights, Apple will not be responsible for the investigation, defense, settlement, or discharge of such claim.
• Apple and its subsidiaries are third-party beneficiaries of this Agreement. Upon your acceptance, Apple will have the right to enforce this Agreement against you as a third-party beneficiary.
• You represent and warrant that you are not located in a country subject to a U.S. Government embargo and that you are not on any U.S. Government list of prohibited or restricted parties.

13. Changes to This Agreement

We reserve the right to modify this Agreement at any time. If we make material changes, we will notify you by posting the updated Agreement within the Application or by other means. Your continued use of the Application after the changes become effective constitutes acceptance of the updated Agreement.

14. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

15. Severability

If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect.
